What do I need to form a company?

Can I be the sole director and sole shareholder?
Yes. A UK limited company only needs one director, and that person can also be the sole shareholder. You don't need a company secretary either — it's optional for private limited companies.
What is the difference between a limited company and a sole trader?
A limited company is a separate legal entity from its owner — it pays Corporation Tax, offers limited liability protection, and can be more tax-efficient at higher profits. A sole trader is simpler to set up but the individual is personally liable for all business debts. We can advise on which structure suits your situation.
Will I need to register for VAT when I form my company?

What is a Confirmation Statement and when do I need to file one?
A Confirmation Statement (previously the Annual Return) is a yearly filing that confirms your company's details are up to date at Companies House. It must be filed at least once every 12 months, even if nothing has changed. As of 1 February 2026, the digital filing fee is £50 (up from £34), or £110 for paper filing.
What are my obligations after forming a company?
You must file annual accounts and a Confirmation Statement with Companies House, pay Corporation Tax and file a CT600 return with HMRC, maintain a registered office address, keep statutory records up to date, and register for PAYE if you employ anyone (including yourself as a director taking a salary).
What is the new Companies House identity verification requirement?
From 2025-2026, all company directors and persons with significant control must verify their identity with Companies House. This involves providing government-issued photo ID through an online process. Failure to verify can block company filings and may result in penalties.
Can I change my company name after formation?
Yes. You can change your company name at any time by passing a special resolution and filing form NM01 with Companies House. The new name must not already be taken or be too similar to an existing company name.
